Terms of Service

1. Acceptance of Terms

By accessing or using the services provided through growth.leviathansi.xyz (the "Service"), including but not limited to the LVTN Content Swarm autonomous social media management tools, APIs, dashboards, and any associated software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Description of Services

The Services provide automated social media content generation, scheduling, posting, and engagement management across multiple platforms (including TikTok, Instagram, YouTube, and X/Twitter). The Services use artificial intelligence to generate content, manage posting schedules, and interact with followers on your behalf.

Key capabilities:

• AI-generated images and videos (via third-party providers)
• Automated posting to connected social media accounts
• Automated engagement (likes, replies, follows) based on configurable rules
• Analytics tracking and performance feedback loops
• Content planning and scheduling

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using the Services, you represent and warrant that you meet these requirements.

4. Account & Authentication

4.1 Platform Connections

To use the Services, you must connect your social media accounts via OAuth 2.0 authorization flows provided by each platform (TikTok, Meta, Google, X). You are solely responsible for:

• Maintaining the security of your OAuth tokens and credentials
• Ensuring your platform accounts comply with each platform's Terms of Service
• Revoking access when you no longer wish to use the Services

4.2 Credentials

You are responsible for safeguarding all API keys, access tokens, refresh tokens, and other credentials used with the Services. We do not store your platform passwords.

5. Your Content & Responsibilities

5.1 Ownership

You retain all intellectual property rights in content you create or authorize the Services to generate on your behalf ("Your Content").

5.2 License to Operate

By connecting your accounts and using the Services, you grant us a limited, revocable, non-exclusive license to:

• Access your connected accounts via authorized APIs
• Post, schedule, and manage content on your behalf
• Read comments, metrics, and engagement data
• Perform engagement actions (like, reply, follow) per your configuration

5.3 Compliance

You are solely responsible for ensuring Your Content and your use of the Services comply with:

• Each platform's Terms of Service, Community Guidelines, and API Terms
• Applicable laws and regulations (including FTC disclosure requirements for sponsored content)
• Intellectual property rights of third parties

5.4 Prohibited Uses

You may not use the Services to:

• Generate or post illegal, harmful, deceptive, or infringing content
• Spam, harass, or manipulate platform algorithms
• Impersonate other individuals or entities
• Violate any platform's automation or rate-limit policies
• Collect personal data from other users without consent

6. AI-Generated Content

The Services use third-party AI providers (OpenAI, Stability AI, Runway, Pika, etc.) to generate images, videos, and text. You acknowledge that:

• AI-generated content may contain inaccuracies, biases, or unintended outputs
• You are responsible for reviewing all AI-generated content before posting
• Third-party AI providers have their own terms governing use of their outputs
• We do not warrant the originality, accuracy, or legal compliance of AI-generated content

7. Third-Party Services

The Services integrate with and depend on third-party platforms and APIs:

Your use of the Services is subject to each third party's terms. We are not responsible for third-party service outages, API changes, policy changes, or account suspensions.

8. Data & Privacy

Our data practices are described in our Privacy Policy. By using the Services, you consent to the collection, processing, and storage of data as described therein.

9. Fees & Billing

The core LVTN Content Swarm software is provided as-is. You are responsible for all costs charged by third-party providers (AI API usage, platform fees, hosting, etc.). We do not charge separate fees for the software itself unless otherwise agreed in writing.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT:

• The Services will meet your requirements or achieve specific results
• Platform APIs will remain available or unchanged
• AI-generated content will be accurate, original, or compliant
• Your accounts will not be suspended or restricted by platforms

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL
• ACCOUNT SUSPENSIONS, BANS, OR RESTRICTIONS IMPOSED BY PLATFORMS
• THIRD-PARTY CLAIMS ARISING FROM YOUR CONTENT OR USE OF THE SERVICES

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO PAYMENTS WERE MADE).

12. Indemnification

You agree to indemnify, defend, and hold harmless Leviathan Systems, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your Content or use of the Services
• Your violation of these Terms or any platform's terms
• Your violation of any law or third-party rights

13. Termination

You may stop using the Services at any time by revoking OAuth access from each platform. We may suspend or terminate your access if you violate these Terms, with or without notice. Upon termination, your license to use the Services ends immediately, but your content remains on the respective platforms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.

15. Changes to Terms

We may modify these Terms at any time. Continued use of the Services after changes constitutes acceptance. Material changes will be communicated via the email associated with your account or posted at growth.leviathansi.xyz/terms.
